Abstract

This thesis research aims to find theoretically the form of rights and obligations for Sole Proprietorship in the provisions of the Limited Liability Company Law and to analyze legally the liability for bankruptcy of Individual Companies in business disputes according to Article 153J of the Job Creation Law. This research uses the Legal Certainty Theory by Gustav Radbruch, the Agreement Theory by Subekti and Bachruddin, and the Unlawful Act Theory by Munir Fuady to answer the legal issues of this research The method used is normative juridical and doctrinal juridical which is prescriptive using the Statute approach, Conceptual approach and Case approach, namely the Decision of the Panel of Judges Number 41 / Pdt.Sus-Pailit / 2024 / PN Niaga Jkt.Pst. November 28, 2024.

The difference with previous research by Devintha Oktifanny Tamales emphasized that individual companies are seen through the principles of Good Corporate Governance and the effectiveness of the individual company. While this study emphasizes the separation of civil liability for Sole Proprietorship assets in terms of legal protection for Sole Proprietorship itself in the Law, as well as its collateral seizure. The difference with Hernita Sari's research focuses on the regulations related to individual companies and their impact on the business climate in Indonesia and its comparison with abroad, while this study emphasizes Sole Proprietorship in terms of legal protection for its owners in the event of default, including how the collateral seizure process is then carried out.

The findings from the results of this thesis research are that the Rights and obligations of Individual Companies require compliance with the rules of law. Misuse of Legal Entities if the owner uses the legal entity of the Individual Company for unlawful purposes, such as fraud or embezzlement of assets. If there is a mixing of company assets with the owner's personal assets, which causes difficulties in separating responsibilities. Separation of personal and corporate assets is key to maintaining limited liability.
